Terms of Service
Welcome to LiuNian Collaboration (hereinafter referred to as "the Software" or "LiuNian"). These Terms of Service constitute a binding agreement between you (hereinafter referred to as "User" or "you") and 广州流念投资有限公司 (Guangzhou Liunian Investment Co., Ltd.) (hereinafter referred to as "we", "us", or "the Company"). By downloading, installing, configuring, or using the Software in any way (including accessing the website sattwf.top, downloading private deployment packages, or using related clients), you signify your agreement to be bound by these Terms. If you are using the Software on behalf of a business or organization, you further represent and warrant that you have the authority to bind that entity to this agreement.
1. License Scope and Usage Authorization
1.1 Grant of License: Subject to the terms of this agreement, the Company grants you a worldwide, non-transferable, non-exclusive, limited license to install, run, and use the object code form of LiuNian Collaboration according to the version type (Community Edition / Commercial Edition). The Community Edition is governed by an open-source license (e.g., AGPLv3, a copy of which is available in the documentation), while the Commercial Edition is subject to a separate written licensing agreement signed by both parties.
1.2 Prohibited Actions: You shall not (nor permit any third party to) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software (except as expressly permitted by law); modify or create derivative works (unless explicitly authorized by the open-source license); or remove or obscure any copyright, trademark, or other proprietary notices contained in the Software.
1.3 Private Deployment Special Provisions: The Software supports enterprises deploying the complete backend on their own servers. You are solely responsible for your data, encryption keys, user management, and backups. We shall not be liable for any damages arising from server failure, misconfiguration, or data loss.
2. Account Registration and Security
LiuNian employs a decentralized user system. Accounts within a private instance are created and managed independently by you or your administrator. As the software provider, we do not hold or verify any account credentials. For any official community forums (if available) or support portals, you must provide a valid email address and are responsible for maintaining its confidentiality. Any actions performed through your account are deemed to be your own actions.
3. Intellectual Property Ownership
The intellectual property rights and other proprietary rights in the Software (including source code (except for parts made publicly available under applicable open source licenses), object code, icons, interface design, algorithms, documentation) belong to 广州流念投资有限公司 (Guangzhou Liunian Investment Co., Ltd.) or its affiliates. The intellectual property rights in any content (documents, diagrams, collaboration information) you generate through using the Software belong to you or the respective rights holders; however, you grant us a perpetual, royalty-free, irrevocable license to use metadata (not containing sensitive content) in anonymous aggregate statistics to improve product performance. This license does not involve accessing your plaintext communication content.
4. User Conduct Code and Prohibited Uses
You agree to comply with all applicable Chinese and international laws and regulations when using LiuNian, including but not limited to the Cybersecurity Law, Data Security Law, and Personal Information Protection Law. You are prohibited from using the Software for the following activities:
- Storing, sharing, or distributing any illegal, infringing, obscene, violent, defamatory, hateful, or content that violates public order;
- Conducting unauthorized monitoring, penetration testing (against non-owned systems), network attacks, or malicious scanning;
- Interfering with normal collaboration of other users or disrupting the stability of the distributed network;
- Using the Software to send spam, phishing links, or malware;
- Circumventing the end-to-end encryption mechanism or attempting to weaken security.
If the Company finds that a User has violated the above terms, we have the right to suspend or terminate the provision of any technical support, updates, and related services to that User, and may report the violation to relevant law enforcement authorities.
5. Software Updates and Technical Support
5.1 Automatic/Manual Updates: LiuNian may automatically check for new versions (update checking can be disabled in the Community Edition). Updates will not overwrite your data without authorization. We recommend you update regularly to receive security fixes.
5.2 Scope of Technical Support: Basic technical documentation is freely available to all users. Commercial Edition users receive email or remote assistance according to the purchased Service Level Agreement (SLA). Community Edition users may seek help through public communities, but the Company does not commit to response times or fault resolution obligations.
5.3 Service Interruptions: We are not liable for service unavailability caused by failures in your local infrastructure or network. However, within the scope of a commercial support contract, we will make reasonable efforts to assist in restoration.
6. Fees and Payment Terms
The LiuNian Community Edition is completely free to use. The Commercial Edition (providing enterprise-level features, services, and compliance guarantees) requires payment of license fees; specific prices are governed by the purchase order signed by both parties. All fees exclude taxes, and users are responsible for applicable VAT, etc. Our private deployment versions do not contain any hidden fees; renewal policies are notified thirty days in advance.
7. Disclaimer of Warranties
The Software is provided "AS IS", without any express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We specifically disclaim any warranties that the Software will be error-free, uninterrupted, or absolutely secure. Despite the implementation of end-to-end encryption, no encryption method can be completely immune to all attacks or human error. To the fullest extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, special, or punitive damages (including data loss or business interruption) arising out of the use or inability to use the Software, even if advised of the possibility of such damages.
If any jurisdiction does not allow the exclusion of implied warranties or limitation of liability, the above limitations shall not apply to you to the extent prohibited by applicable law.
8. Limitation of Liability
Except where prohibited by law, the Company's total liability for any claim (whether in contract, tort, or otherwise) shall not exceed the total amount you paid (if any) for the Software giving rise to the claim during the twelve months preceding the claim. For free users, the maximum liability is RMB 100. These limitations apply to the entirety of this agreement.
9. Data Protection Commitment
User data is 100% controlled by users; as the software provider, we do not actively collect any collaboration content. Please refer to the Privacy Policy for detailed data practices.
10. Termination of Agreement
10.1 Termination Events: You may terminate this agreement at any time by ceasing to use and uninstalling the Software. If you materially breach these terms (e.g., intellectual property infringement, illegal use), the Company may provide written notice to immediately terminate this agreement and revoke the license.
10.2 Effect of Termination: Upon termination, you must cease all use and delete all copies of the Software (including all components). Termination does not affect any liability or confidentiality obligations incurred prior to termination.
11. Governing Law and Dispute Resolution
The formation, execution, interpretation, and dispute resolution of this agreement shall be governed by the laws of the People's Republic of China (excluding its conflict of laws rules). Any dispute arising out of or relating to this agreement shall first be resolved through friendly negotiations. If negotiation fails, either party may submit the dispute to the competent people's court located in the Company's domicile (Tianhe District, Guangzhou) for litigation.
12. Modification of Terms
We reserve the right to revise these Terms of Service. For material changes (such as narrowing liability limitations, adjusting fee structures), we will notify you via a website announcement or email. Your continued use of the Software after the effective date of the changes constitutes your acceptance of the modified terms. Historical versions are available upon request to customer service.
13. Miscellaneous Provisions
13.1 Entire Agreement: This agreement, together with the Privacy Policy and any commercial supplementary agreements (if any), constitutes the entire agreement between the parties regarding the use of the Software, superseding all prior oral or written communications.
13.2 Severability: If any provision of this agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13.3 Force Majeure: The Company shall not be liable for breach or delay in performance caused by force majeure events, including but not limited to natural disasters, war, government actions, power outages, or basic telecommunications failures.
